Tabarak Investment Reinforces its Commitment to DSI and Acquires Majority Shares of Former CEO

The company advances with the capital restructuring program and proceeds with the final preparations to initiate the 75% capital reduction

UAE, June 18, 2017 – Drake & Scull International PJSC (“DSI” or the “Company”), a regional engineering and services leader, announced today that Tabarak Investment LLC acquired the majority shares of Former Chief Executive Officer, Khaldoun Tabari.

The transaction reaffirms the commitment of Tabarak Investment LLC to the DSI brand and the promising outlook of the Company upon completion of the capital restructuring program which was approved by the shareholders at the Annual General Assembly Meeting held on 4th of May 2017.

The company continues to review and optimize its organizational structure by merging and integrating core functions across operating segments to reduce overheads, streamline costs and to improve the bottom line performance. 

The company concluded a series of key management appointments at both corporate and subsidiary levels and the new management team has been recently complemented with the appointment of Feras Kalthoum as Acting Chief Financial officer of the Group.

The company advanced with the capital restructuring program and received today from the Securities and Commodities Authority (SCA) further instructions to proceed with the final regulatory preparations in order to fulfil the approval requirements and to initiate the 75% capital reduction.

Phase 1 (capital reduction) of the capital restructuring program is expected to be completed within six to seven weeks.  Upon completion of phase 1, the Company will instigate the execution of phase 2 (Capital increase) of the program which includes the AED 500 million capital increase to accelerate the entry of Tabarak Investment LLC as a major strategic investor in the Company.

The initial projected timeline of the capital restructuring program has been deferred by a period of one month and the Company now expects to complete the program by the end of Q3 2017.

الإمارات، 18 يونيو 2017 - أعلنت "دريك أند سكل إنترناشيونال ش.م.ع"، الشركة الإقليمية الرائدة ضمن قطاعات الهندسة والخدمات، اليوم (الأحد 18 حزيران/يونيو 2017) عن استحواذ "تبارك للاستثمار ذ.م.م" على غالبية أسهم الرئيس التنفيذي السابق خلدون الطبري.

وتأتي الخطوة بمثابة تأكيد على إلتزام وثقة "تبارك للاستثمار ذ.م.م" بالعلامة التجارية لـ "دريك أند سكل إنترناشيونال ش.م.ع"، لا سيّما في ظل الآفاق الإيجابية المتاحة التي بدأت تظهر بوادرها عقب استكمال برنامج إعادة هيكلة رأس المال الحاصل على موافقة المساهمين خلال الجمعية العمومية المنعقدة في 4 أيار/مايو 2017.

وتواصل "دريك أند سكل إنترناشيونال ش.م.ع" السير قدماً في مساعيها الرامية إلى مراجعة وتحسين الهيكلية التنظيمية، من خلال دمج المهام الرئيسة عبر كافة العمليات التشغيلية، في سبيل الحد من النفقات العامة وضبط التكاليف وزيادة صافي الدخل.

وتم مؤخراً استكمال سلسلة من التعيينات الجديدة على مستوى الإدارات العليا  في "دريك أند سكل إنترناشيونال ش.م.ع" والشركات الفرعية التابعة لها، كان آخرها تعيين فراس كلثوم في منصب المدير المالي التنفيذي بالإنابة للمجموعة.

وخطت "دريك أند سكل إنترناشيونال ش.م.ع" خطوات متقدمة على صعيد تنفيذ برنامج إعادة هيكلة رأس المال، حيث استلمت اليوم من "هيئة الأوراق المالية والسلع" توصيات جديدة لمواصلة إتمام الاستعدادات التنظيمية النهائية من أجل الامتثال لمتطلبات الموافقة والشروع في تخفيض رأس المال بنسبة 75%.

ومن المتوقع أن تنتهي "دريك أند سكل إنترناشيونال ش.م.ع" من المرحلة الأولى من برنامج إعادة هيكلة رأسمالها (تخفيض رأس المال) خلال فترة تتراوح بين 6 و7 أسابيع، لتنتقل بعدها مباشرةً إلى المرحلةالثانية التي تتضمن ضخ مبلغ قدره 500 مليون درهم إماراتي لزيادة رأس المال، في خطوة لتسريع إجراءات  دخول "تبارك للاستثمار ذ.م.م" كشريك استراتيجي لها.

وتم تأجيل الجدول الزمني الأولي المقترح لبرنامج إعادة هيكلة رأس المال لمدة شهر واحد، وسط التوقعات بأن تستكمل "دريك أند سكل إنترناشيونال ش.م.ع" إجراءات إعادة الهيكلة بحلول نهاية الربع الثالث من العام الجاري.

المركز العالمي الرائد في مجال الأمن السيبراني يحاور الشباب ويسعى لإلهامهم

القاهرة ، جمهورية مر العربية – 18 يونيو 2017 : حازت المهندسة المعمارية داليا السعدني على الجائزة الذهبية في جوائز مسابقة Aللتصميم، التي تعتبر من أرفع المسابقات العالمية في مجال التصميم، ومفاهيم التصاميم، إضافة إلى المنتجات والخدمات، وذلك عن إبداعها مركز تريند مايكرو داخل ’جريك كامبس‘ في الجامعة الأمريكية  بالقاهرة، وهي المنطقة التي تضم مجموعة من أعرق المباني وسط العاصمة المصرية القاهرة.

وتم تصميم المركز بأسلوبٍ فني يتخطى حدود المكاتب العملية، ويقدم بيئةً تترك انطباعات إيجابية على طلاب الجامعة. ويقوم جوهر التصميم على الجمع بين الأداء الوظيفي والطاقة المحفّزة على العمل بما ينسجم مع متطلبات المراكز التعليمية، دون الخروج عن الطابع العام للمكان باعتباره مقر شركةً متخصصةً بالتكنولوجيا.

واستعانت المصممة بالخطوط المتكسرة، وعالجت الفضاءات الداخلية بأسلوب عصري يستشرف المستقبل ليقدم للطلاب أجواءً مثالية للعمل والدراسة. كما يزخر المكان بالمساحات الزجاجية والمرايا لزيادة معدلات الإضاءة الطبيعية، بينما يتيح الجسر الزجاجي أبعاداً كبيرةً للمكتب من الداخل وصولاً إلى المدخل.

كما يتمتع المبنى نفسه بحضورٍ مميز يحفل بالتكوينات الجريئة والعناصر العملية والوظيفية، فتتألق النوافذ بالمعادن المزخرفة على الطريقة الإسلامية، كما يزهو المكان بصياغات تجريدية فريدة للمشربيات ضمن سياق فني متكامل يعكس مهارةً حرفيةً عاليةً ومشهداً بصرياً غاية في الجمال.

ومن جهة أخرى، يستحضر المكتب المناظر الطبيعية ليمنح رواده مساحة داخلية تحاكي الطبيعة الخضراء، في خطوة تهدف إلى التخلص من الشعور التقليدي للأماكن الداخلية. وتحفل التصاميم أيضاً بأفكارٍ مدروسة، تتيح أمام مستخدمي المكان فرصة الاستماع إلى صوت خرير المياه الصادر عن نظام الري، ما يضفي مزيداً من التأثيرات الطبيعية على حواسهم السمعية والبصرية.

Masen visits Sweden to discuss collaborations with Sweden and Swedish CSP technology provider Cleanergy

Mr. Mustapha Bakkoury, President of Masen, visited Sweden to meet with Swedish Governmental Energy Agencies and Swedish Technology Provider, Cleanergy AB.

Morocco and Sweden have the attributes for good business relations within the energy sector. With Morocco’s avant-gardist strategy for renewable energy development, its optimal weather conditions and Sweden’s innovative technology solutions, focus is on how to continue developing the collaboration between the two countries.

Mr. Bakkoury undertook this visit upon an official invitation by the State Secretary Mr. Oscar Stenström, Ministry of Foreign Affairs, who he met on June 15th. Mr. Bakkoury also met with Mr. Pär Nuder, Board Member of Cleanergy AB, and other high-level representatives of the Swedish Government and officials of the Stockholm Region to discuss:

1. Swedish energy strategy and goals for renewables
2. Collaborative efforts between the two countries
3. Moroccan roadmap to being global leader within renewable energy
