QNB Group, a leading bank in the Middle East and Africa, announced that the Board of Directors, during its meeting on Wednesday 13 January 2016 has approved its results for the year ended 31 December 2015.
Based on the strong financial results for 2015 and consistent with QNB Group’s aim of maximising returns to shareholders, the Board of Directors is recommending to the General Assembly the distribution of a cash dividend of 35% of the nominal share value (QAR3.5 per share) and a bonus shares of 20% of the share capital (Two shares for every ten shares). The financial results for 2015 along with the profit distribution are subject to Qatar Central Bank (QCB) approval.

For the twelve months of 2015, Net Profit was QAR11.3billion, up by 7.7% compared to last year. This was driven by operating income, which increased to QAR16.3billion, up by 3.0% compared to December 2014, demonstrating QNB Group’s success in achieving strong growth across the range of revenue sources.
Net interest income increased by 3.9% to reach QAR12.7 billion, with net fee and commission income and net gain from foreign exchange reaching QAR2.2 billion and QAR746 million, respectively, reflecting success in diversifying sources of income.
The Group’s prudent cost control policy and strong revenue generating capability allowed it to maintain an efficiency ratio (cost to income ratio) of 21.5%, which is considered one of the best ratios among financial institutions in the region.

Total assets increased by 10.7% from December 2014 to reach QAR539 billion, the highest ever achieved by the Group. This was the result of a strong growth rate of 14.8% in loans and advances to reach QAR388 billion.
The Group was able to maintain the ratio of non-performing loans to gross loans at 1.4%, a level considered one of the lowest amongst banks in the Middle East and Africa, reflecting the high quality of the Group’s loan book and the effective management of credit risk. The Group’s conservative policy in regard to provisioning continued with the coverage ratio reaching 127% in December 2015.
At the same time QNB Group increased customer funding by 10.5% to QAR395 billion. This led to the Group’s loan to deposit ratio reaching 98%.
Enhance Shareholder Value
Total Equity increased by 7.1% from December 2014 to reach QAR62 billion as at 31 December 2015. Earnings per Share reached QAR16.1 compared to QAR14.9 in December 2014.
Capital Adequacy Ratio (CAR) calculated as per the QCB and Basel III requirements stood at 16.3% as at 31 December 2015, higher than the regulatory minimum requirements of the Qatar Central Bank and Basel Committee. The Group is keen to maintain a strong capitalisation in order to support future strategic plans.
To further enhance the shareholders’ equity and continue to maintain a capital adequacy ratio higher than the regulatory minimum requirements of the Qatar Central Bank and Basel Committee, the Board of Directors agreed to recommend to the General Assembly to approve the issuance of capital instruments that qualify as Tier 1 additional capital and/or Tier 2 capital instruments in accordance with Qatar Central Bank and Basel Committee requirements, and authorise the Board of Directors to determine the size, timing, pricing and other related terms and conditions.
Maintain the Highest Credit Ratings
During March 2015, Fitch Rating agency upgraded QNB Group to AA-/F1+ on the back of the strength of the State of Qatar’s sovereign rating. QNB Group has maintained its credit rating from all other rating agencies and is considered one of the highest in the region. This is a result of QNB Group’s strong financial position, high quality of its assets and its leading position in the financial sector.
As a result of the Group’s high credit ratings and outstanding asset quality, it was selected as one of the world’s 50 safest financial institutions by Global Finance.

QNB Group was the recipient of many leading local, regional and international awards including Euromoney – Best Bank in the Middle East and Qatar and The Banker Middle East – Best Bank in Qatar. These awards reflect QNB’s global success and the growing International network of operations now extending across more than 27 countries and 3 continents.  
Ensure Strong Brand Recognition and High Brand Value
Based on the Group’s continuous strong performance and its expanding international presence, QNB improved its ranking within the Brand Finance Global Top 500 Banking Survey 2015 and is now the biggest bank brand by value in The Middle East and Africa. The QNB Ranking moved significantly from 101st (Brand Value: USD1.8 billion in 2014) to 79th (Brand Value: USD2.6 billion in 2015) further recognising QNB’s improved standing and strong brand recognition.


Raise QNB’s Organisation to the Next Level
In December 2015, QNB Group entered into a definitive agreement with the National Bank of Greece for the acquisition of its entire stake comprising 99.81% in Finansbank A.Ş (Finansbank) in Turkey. QNB Group expects to finalise the transaction during the first half of 2016.
Finansbank is the fifth largest privately owned universal bank by total assets, customer deposits and loans in the Turkish market. Finansbank has grown organically into a full service financial institution with an independent and experienced management, nationwide distribution network of 647 branches and over 5.3 million customers. As of 30 June 2015, Finansbank had US$29.0 billion of assets, US$19.5 billion in loans and US$14.6 billion in deposits and total equity amounted to US$3.6 billion as per International Financial Reporting Standards.
Also during the second half of 2015, QNB Group received approval from the Saudi Cabinet to open a branch in the Kingdom and the process of opening that branch has begun.
Strengthen and Enhance Capabilities
QNB Group is continuing to embed compliance principles within the group by promoting a culture of compliance across all areas starting from top management and cascading down to all employees. As part of these on-going initiatives all employees have been provided with training on the principles of compliance, AML and Chinese Walls in order to highlight the importance of adhering to regulatory requirements and reporting any misconducts which are vital to the group’s growth strategy and assist significantly in achieving the group objective of becoming a leading MEA bank by 2017 and a global bank by 2030. QNB will continue to keep regulatory compliance as a high priority item in its agenda whilst ensuring achievement of the business targets of QNB Group.
Ensure Outstanding Talent Pool
Group Human Capital continued its extensive training and development implementations through various programs such as Leadership, Supervisory, Individual and Trainee Development which provided employees at all levels an opportunity to develop and identify the QNB top talents.
The Bank continued its Ambassador program where talented employees are sent to work overseas in one of QNB’s international entities for a period of 6 to 24 months. The aim of the program is to expose the future leaders of QNB to international business environments early in their careers in order to enhance and develop the foundational skills and capabilities required to lead QNB with a global mind-set in the future.
QNB undertook an Employment Engagement Survey to help identify areas of strength and areas for improvement in regards to the workforce. From the results of this survey several initiatives have been undertaken to improve how employees view and operate within QNB, such as the recently launched QNB Managers Guidebook which empowers managers at all levels by giving them tools to address employees concerns directly.  Multiple other initiatives are planned as QNB continues to strive towards being recognised as an Employer of Choice by both staff and potential candidates.  
The Bank continues to place high emphasis on recruiting nationals in all countries in which the Group operates, providing them with dedicated training programs to further enhance their capabilities. This has resulted in the Bank having a Qatarisation ratio that exceeds 51% in Qatar, the highest among financial institutions in Qatar.
QNB Group is present, through its subsidiaries and associate companies, in more than 27 countries and 3 continents providing a comprehensive range of products and services. The total number of staff is more than 15,200 operating from over 635 locations and with an ATM network of more than 1,390 machines.

أعلنت مجموعة QNB، المؤسسة المصرفية الرائدة في منطقة الشرق الأوسط وأفريقيا، أن مجلس الإدارة اعتمد البيانات المالية للسنة المنتهية في 31 ديسمبر 2015 خلال اجتماعه يوم الأربعاء الموافق 13 يناير 2016.

وبناءً على النتائج المالية القوية التي تم تحقيقها خلال عام 2015 وانطلاقاً من سياسة مجموعة QNB الرامية إلى تحقيق أفضل عائد للمساهمين، يوصي مجلس الإدارة الجمعية العامة بتوزيع أرباح نقدية بمعدل35 % من القيمة الاسمية للسهم (بواقع3,5  ريال للسهم الواحد)، بالإضافة إلى إصدار أسهم مجانية بمعدل20 % من رأس المال (بواقع سهمين لكل عشرة أسهم)، علماً بأن البيانات المالية لعام 2015 ومقترح توزيع الأرباح تخضع لموافقة مصرف قطر المركزي.

الاستمرار في تحقيق معدلات نمو مستدامة
بلغ صافي أرباح مجموعة QNB 11,3 مليار ريال لعام 2015، بارتفاع نسبته 7,7% مقارنة مع ما تم تحقيقه في العام الماضي. وقد نتج هذا النمو بشكل رئيسي من الإيرادات التشغيلية لمجموعة البنك، والتي بلغت 16,3 مليار ريال بارتفاع نسبته 3,0% مقارنة مع نفس الفترة من العام الماضي، الأمر الذي يؤكد نجاح مجموعة QNB في تحقيق نمو قوي في مختلف مصادر الدخل. كما ارتفع صافي إيرادات الفوائد بنسبة 3,9% ليصل إلى 12,7 مليار ريال، وبلغ صافي إيرادات الرسوم والعمولات وصافي إيرادات عمليات النقد الأجنبي 2,2 مليار ريال و 746  مليون ريال على التوالي، الأمر الذي يعكس نجاح البنك في تنويع مصادر الدخل.
وقد أدت سياسة المجموعة في إدارة التكاليف وقدرتها على تحقيق نمو قوي في الإيرادات الى المحافظة على نسبة كفاءة (المصاريف إلى الإيرادات) عند 21,5%، والتي تعتبر من بين أفضل المعدلات على مستوى المؤسسات المالية في المنطقة.

ارتفع إجمالي موجودات المجموعة بنسبة 10,7% عن عام 2014 ليصل إلى 539 مليار ريال وهو أعلى مستوى في تاريخ البنك. وقد تمكن البنك من تحقيق ذلك من خلال النمو القوي في محفظة القروض والسلف بنسبة 14,8%  لتصل إلى 388 مليار ريال.
كما حافظ البنك على معدل القروض غير العاملة كنسبة من إجمالي محفظة القروض عند مستوى 1,4%، وهو من بين أدنى المعدلات على نطاق بنوك منطقة الشرق الأوسط وإفريقيا، الأمر الذي يعكس الجودة العالية لمحفظة القروض وفعالية سياسة إدارة المخاطر الائتمانية. كما واصلت المجموعة سياستها المتحفظة في بناء المخصصات حيث بلغت نسبة تغطية القروض غير العاملة 127% بنهاية عام 2015.
وبموازاة ذلك ارتفعت ودائع العملاء بنسبة 10,5%  لتصل إلى 395 مليار ريال، مما ساهم في وصول نسبة القروض إلى الودائع إلى مستوى 98%.

تعزيز قاعدة رأس المال وحقوق المساهمين
ارتفع إجمالي حقوق المساهمين بنسبة 7,1% عن عام 2014 ليصل إلى 62 مليار ريال. كما بلغ العائد على السهم 16,1 ريال مقارنة مع 14,9 ريال لعام 2014.
وقد بلغت نسبة كفاية رأس المال المحتسبة بموجب متطلبات مصرف قطر المركزي ولجنة بازل III ما نسبته 16,3% في 31 ديسمبر 2015، وهو معدل أعلى من متطلبات مصرف قطر المركزي ولجنة بازل. وتركز سياسة المجموعة في المحافظة على قاعدة متينة لرأس المال لدعم خططها الإستراتيجية المستقبلية.


وتعزيزاً لقاعدة رأس المال وحقوق المساهمين لدى البنك، وللتمكن من الإحتفاظ بنسبة كفاية رأس مال أعلى من المتطلبات الرقابية ولجنة بازل، وافق مجلس الإدارة على التوصية للجمعية العامة بالموافقة على اصدار أدوات رأسمالية مؤهلة لتكون ضمن الشريحة الأولى من رأس المال الإضافي و/أو رأس المال المساند بما يتفق مع متطلبات مصرف قطر المركزي ومعايير لجنة بازل وتفويض مجلس الإدارة في تحديد مقدار هذه الإصدارات وتواريخها وشروط اصدارها وأسعار الفائدة عليها وتوقيت طرحها.

المحافظة على أعلى التصنيفات الائتمانية
قامت مؤسسة فيتش خلال شهر مارس 2015 برفع تصنيف مجموعة QNB الى مستوى AA-/F1+ في ضوء التصنيف السيادي القوي الذي تتمتع به دولة قطر. كما حافظت مجموعة QNB على تصنيفاتها الائتمانية من كافة مؤسسات التقييم الأخرى والتي تعتبر ضمن أعلى تصنيفات المؤسسات المالية على صعيد المنطقة. وجاء ذلك نتيجة للمركز المالي القوي للمجموعة وجودة أصولها العالية ومكانتها المتميزة في القطاع المصرفي.
ونتيجة للتصنيف الائتماني المرتفع للمجموعة وجودة أصولها المتميزة، تم اختيار QNB من بين الخمسين بنكاً الأكثر أماناً في العالم وفقاً لغلوبال فاينانس.

المؤسسة المالية الأكثر تفضيلاً
حصلت مجموعة QNB على عدة جوائز محلية وعالمية نتيجة لجودة وتنوع الخدمات والمنتجات التي تقدمها بالإضافة الى نمو شبكة اعمالها الدولية التي اصبحت تغطي أكثر من 27 بلداً وثلاث قارات حول العالم، ومن هذه الجوائز جائزتي "أفضل بنك في الشرق الأوسط" و "أفضل بنك في قطر" من قبل مجلة يورومني العالمية وذلك خلال حفل توزيع جوائز يورومني للإمتياز في الشرق الأوسط لعام 2015.

قيمة عالية للعلامة المصرفية المتميزة للمجموعة
بفضل استمرار الأداء القوي وزيادة انتشار المجموعة على الصعيد الدولي، تمكنت المجموعة من تحسين ترتيبها ضمن أفضل 500 علامة تجارية مصرفية في العالم بموجب المسح الذي قامت به براند فايننس بوصفها العلامة التجارية المصرفية الأعلى قيمة في منطقة الشرق الأوسط وأفريقيا لتحتل المرتبة رقم 79 وبقيمة بلغت 2,6 مليار دولار أمريكي في عام 2015، متقدمة من الترتيب 101 بقيمة 1,8 مليار دولار أمريكي في عام 2014.

الإرتقاء بمكانة المجموعة لمستويات أعلى
تم خلال شهر ديسمبر من العام 2015 التوصل إلى اتفاق نهائي للاستحواذ على كامل حصة بنك اليونان الوطني البالغة %99,81 في Finansbank A.Ş  (Finansbank) في تركيا، ومن المتوقع ان يتم استكمال عملية الإستحواذ خلال النصف الأول من عام 2016.  
ويعتبر Finansbank خامس أكبر بنك مملوك للقطاع الخاص في تركيا من حيث اجمالي الموجودات وودائع العملاء والقروض. وقد نما البنك وتطور عبر السنوات ليصبح مؤسسة مصرفية متكاملة تتمتع باستقلالية وادارة ذات خبرة، ويقدم خدماته المصرفية من خلال 647 فرعاً مع قاعدة عملاء تزيد عن 5,3 مليون عميل. وفي 30 يونيو 2015، بلغ اجمالي موجودات Finansbank ما مقداره 29,0 مليار دولار أمريكي، وبلغت القروض وودائع العملاء 19,5 و 14,6 مليار دولار أمريكي على التوالي، كما بلغت حقوق المساهمين 3,6 مليار دولار أمريكي بموجب المعايير الدولية للتقارير المالية.
كما حصلت المجموعة خلال الربع الثاني من عام 2015 على موافقة على افتتاح فرع في المملكة العربية السعودية وقد تم البدء بالإجراءات اللازمة لإفتتاح الفرع.


 تعزيز وتقوية قدرات وامكانيات المجموعة
تهدف مجموعة QNB الى ترسيخ مبادئ الالتزام والامتثال للمجموعة من خلال تعزيز ثقافة الالتزام وايصالها الى جميع الموظفين. وكجزء من المبادرات المستمرة، تم تقديم التدريب اللازم لجميع الموظفين بخصوص قضايا الالتزام ومكافحة غسيل الاموال من اجل التأكيد على اهمية الوفاء بالمتطلبات التنظيمية والإبلاغ بحرية عن السلوك غير القويم، الأمر الذي سيكون له اهمية جوهرية لاستراتيجية نمو المجموعة والمساعدة في تحقيق اهدافها واستمرارها بترسيخ مبادئ الإلتزام والإمتثال ضمن سعيها لتحقيق أهدافها الاستراتيجية لتصبح المؤسسة المصرفية الرائدة على مستوى الشرق الأوسط وافريقيا بحلول عام 2017 والمؤسسة العالمية بحلول عام 2030.

تأمين مستوى متميز من الكفاءات والكوادر البشرية
استمرت ادارة الموارد البشرية للمجموعة بتقديم برامج التدريب والتطوير المكثفة من خلال عدة برامج للقيادة والإشراف والتدريب مما يزود الموظفين على اختلاف مستوياتهم الوظيفية بالفرص اللازمة لتنمية مهاراتهم وتطوير المواهب الواعدة.
وللبناء على ما تم تحقيقه من نجاح في هذا المجال، استمر البنك بالعمل ببرنامج السفير لتطوير مهارات الموظفين في مواقع مختارة تابعة للمجموعة خارج دولة قطر، مما يؤدي الى تعزيز وتطوير قدراتهم واكتسابهم مهارات قيادية.
كما قام البنك ايضاً بتحديد نقاط القوة للموظفين وتلك التي تحتاج الى تطوير من خلال مسح تم اجراؤه لهذه الغاية، وبناءً على نتائج المسح تم اتخاذ اجراءات عديدة لتطوير اداء الموظفين والمدراء على اختلاف مستوياتهم عن طريق توفير الأدوات الملائمة لتعزيز الأداء وتطويره. كما تم اتخاذ الإجراءات اللازمة لطرح مبادرات جديدة للتطوير الوظيفي ضمن سعي البنك ليصبح جهة العمل المفضلة سواءً للموظفين الحاليين او الجدد.
كما واصلت مجموعة QNB تركيزها على توظيف المواطنين في كافة الدول التي تعمل بها وتوفير برامج تدريبية لتطوير قدراتهم المهنية. وأدت هذه الجهود إلى تجاوز نسبة الموظفين القطريين في دولة قطر مستوى %51، وهي أعلى نسبة توطين بين المؤسسات المالية في دولة قطر.
وتتواجد المجموعة من خلال فروعها وشركاتها التابعة والزميلة في أكثر من 27 بلداً وثلاث قارات حول العالم، حيث تقدم أحدث الخدمات المصرفية لعملائها عبر أكثر من 635 فرعاً ومكتباً تمثيلياً وشبكة صراف آلي تزيد عن 1,390 جهاز، ويعمل لديها ما يزيد عن 15,200 موظف.
